01Eligibility

You may use the Services only if you are legally capable of entering into a binding agreement and are using the Services in compliance with applicable laws.

If you use the Services on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.

02Services

Hyra Logic is a commercial real estate intelligence platform that may provide property analysis, recommendations, presentations, brochures, flyers, CRM features, outreach tools, exports, and related business workflow tools.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

03Accounts

To use certain features, you may be required to create an account. You agree to:

• provide accurate and complete information,
• maintain the confidentiality of login credentials,
• promptly update information if it changes,
• notify us immediately of any unauthorized use of your account.

You are responsible for activities occurring under your account unless prohibited by law.

04Acceptable Use

You agree not to:

• use the Services for unlawful, fraudulent, deceptive, or unauthorized purposes;
• interfere with or disrupt the Services or servers;
• attempt to gain unauthorized access to systems, accounts, or data;
• upload malicious code or harmful content;
• scrape, copy, reverse engineer, decompile, or attempt to extract source code or underlying models except as allowed by law;
• use the Services to infringe third-party rights;
• misrepresent AI-generated materials as independently verified facts without review;
• use the Services to send unlawful spam or communications in violation of applicable law.

05User Content

You retain ownership of content submitted or created using the Services (“User Content”), subject to the rights granted below.

You grant Nordic Solutions AI a non-exclusive, worldwide, limited license to host, store, process, reproduce, transmit, and display User Content solely as necessary to provide, maintain, improve, secure, and support the Services.

You represent and warrant that you have rights to the User Content and that it does not violate law or third-party rights.

06AI-Generated Outputs and No Professional Advice

The Services may generate recommendations, rankings, narratives, presentations, brochures, flyers, prospect suggestions, and other outputs using automated systems and AI models.

These outputs are for informational and workflow-support purposes only. They are not legal, financial, brokerage, leasing, valuation, investment, tax, or other professional advice.

Users are solely responsible for reviewing, validating, editing, approving, and deciding whether to use, share, rely on, or act on any output.

Nordic Solutions AI does not guarantee that outputs are accurate, complete, current, or fit for a particular purpose.

07Intellectual Property

The Services, including software, design, branding, text, graphics, interfaces, and underlying technology, are owned by Nordic Solutions AI or its licensors and are protected by intellectual property laws.

Except as expressly allowed in these Terms, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services.

08Feedback

If you submit ideas, suggestions, or feedback, you grant us the right to use that feedback without restriction or compensation.

09Third-Party Services

The Services may depend on or interoperate with third-party services, including hosting, mapping, analytics, communications, storage, or AI providers. We are not responsible for third-party services or their availability.

10Fees and Billing

If paid plans are offered, you agree to pay applicable fees in accordance with pricing and billing terms presented at purchase.

Unless otherwise stated:

• fees are non-refundable,
• subscriptions renew automatically until canceled,
• users are responsible for applicable taxes.

We may change pricing prospectively upon reasonable notice.

11Termination

We may suspend or terminate access if:

• you violate these Terms,
• your use creates risk to the Services or other users,
• we are required to do so by law,
• or we discontinue the Services.

You may stop using the Services at any time.

Provisions relating to ownership, disclaimers, limitations of liability, indemnity, and dispute resolution survive termination.

12Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that outputs will be accurate, complete, or reliable.

13Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORDIC SOLUTIONS AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

• the amount paid for the Services in the 12 months before the claim arose, or
• $100 USD.

14Indemnification

You agree to defend, indemnify, and hold harmless Nordic Solutions AI and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, expenses, and fees arising out of or related to your use of the Services, User Content, violation of these Terms, or violation of law or third-party rights.

15Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles.

16Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Connecticut, and you consent to their jurisdiction and venue, unless otherwise required by applicable law.

17Changes to These Terms

We may update these Terms from time to time. We will update the Effective Date when changes are made. Continued use after changes become effective constitutes acceptance to the extent permitted by law.
